She noted that the 2019 statements are not final and could change for any payables or receivables not coded to the EDA yet. She reviewed each of the fund balances including the general fund, GMEF, TIF Districts, GAAP Reconciliations, and SCDP. 4. PUBLIC HEARING — Land Sale Public Hearing - UMC Expansion Proiect — Proposed sale of EDA property described as Lot 2, Block 1, Monticello Commerce Center, Sixth Addition, Wright County, MN (7.39 -acres) MID #1551430010201 to UMC for the sole purpose of pursuing a 52,000 square foot expansion project Jim Thares introduced the item and explained the item would be considered to help pursue a 52,000 square foot expansion project at Ultra Machining Company. Thares noted the EDA is being asked to delay action on the UMC items until the February 26th, 2020 Regular EDA meeting to allow UMC to complete its review of various documents. Thares explained that the staff reports for the Purchase and Development Contract and the TIF 1-41 District approval are completed as it was expected that these two items would be considered at this meeting and as such have been attached to this staff report as exhibits. Thares recommended opening the public hearing, but continuing it until the February 26th, 2020 EDA meeting. Steve Johnson opened up the public hearing and invited the UMC representative to discuss the project. Tim Dolan, Decklan Group, introduced himself as the representative for UMC. He noted that everything was progressing nicely and they are working with the State and City to line up the remaining items. He noted that the Planning Commission recently recommended to City Council their Planned Unit Development Land Use application. He noted that the extension of the public hearing was necessary due to UMC's lawyers merging with another company. Economic Development Authority Minutes — February 12th, 2020 Page 2 17 Bill Tapper asked why the $40,000 due on February 15th, 2020 in earnest money had not been paid by UMC yet. The earnest money would secure the current rate of the land. Dolan noted that the earnest money was an advance from the City to the landowner. No contract between the City and UMC has been executed as of this date. Tapper requested assurance from UMC that the project would continue to move forward and that the EDA would not lose it's $40,000 already paid to the landowner. Tapper requested a letter stating if the project was cancelled after February 14th, 2020, and prior to UMC entering into the Purchase and Development Agreement with the EDA, that UMC would reimburse the City the costs. Dolan stated that he would present this to UMC for consideration. Thares provided an additional handout to the EDA that should offer a higher level of comfort that the project was moving forward. He informed the EDA that the State (MN - DEED) would not have provided the MIF and JCF award letters to the City without having the financing questions, including equity sources, answered. PUBLIC HEARING — Business Subsidy Public Hearing — UMC Expansion Proiect - Proposed Tax Increment Financing (TIF) Land Value Write Down in the amount of $731,000 for development property, EDA advance funding in the amount of $300,000, Minnesota Investment Fund (MIF) Forgivable Loan in the amount of $300,000 and Job Creation Fund (JCF) Grant in the amount of $175,000 to UMC for the sole purpose of pursuing a 52,000 square foot expansion proiect. Steve Johnson introduced the item and asked Tim Dolan if he had any further comments. Jim Thares reiterated the four business subsidies that are components of the UMC expansion project's financing structure. He again noted that the staff report for this item were completed and attached to this staff report as exhibit and that the public hearing should be continued to the February 26th EDA meeting. Johnson asked for clarification about whether the DEED approved forgivable loan (MIF) only needed execution of a formal contract. Dolan confirmed and further noted that MIF was a two-year job creation figure commitment while the JCF Grant program extends the job creation time period by one more year and counts jobs that are created in the third year after completion of the building (the benefit date). Consideration of Co -Work Concept Project Update — Crystal Nutt, Crystal Nutt Consulting Jim Thares introduced the topic and explained that Crystal Nutt would be providing an update regarding the co -work space initiative. Thares stated that a monthly committee has been meeting for the past 9 to 10 months. He reminded the EDA that Nutt spoke at a previous EDA meeting about a fellowship grant to further explore the concept of a co -work space. The funding was unsuccessful, but the group has continued meeting. In early January, they took a tour of Cooper Collective in St. Cloud. Thares then invited Nutt to the podium. Nutt explained that there remains a high interest in having a co -working space in Monticello. She also said that the owners of Cooper Collective are interested in bringing the concept to Monticello. Local committee members and the Cooper Collective owners will be involved in tours of several possible building locations; already scheduled for Thursday, February 13, 2020. Nutt reviewed a plan summary and noted that the information was big picture, tentative, and the figures were ballpark and could change. It is the group's intent to have a co -working space by 2022. She explained some of the first steps include hosting a public event that gauges the interest of the concept. Next, the committee would like attend a co -working conference in Willmar, where they would learn additional best practices and develop a 12 to 36 -month business plan. The conference would help to understand the role of a private -public partnership. Bill Tapper asked what the size of the space would be. Nutt responded that they are looking for a space about 4,000 to 6,500 square feet. There could be an estimated 30 to 50 members. Jim Davidson requested more information on the commitment and assistance needed for the project to be successful. Steve Johnson explained there are market studies completed and that she should work with staff on demographic information of the area. He also encouraged the importance of completing pro -forma reports. Davidson asked for information about ownership. Nutt responded that it was not clear at this point. Johnson reminded Nutt of the City's business subsidy programs. Jon Morphew echoed concerns of the City or EDA owning or leading the initiative. Nutt focused on creating an understanding of the public-private partnership and to continue watching what other communities are doing for co -working. Nutt also explained the support they have received from City Staff and community members. Economic Development Authority Minutes — February 12th, 2020 Page 4 17 Tapper reminded the EDA that business subsidy can only be applied if jobs are created. Nutt explained that some jobs could be generated, and others would support existing jobs. Johnson reminded Nutt that the Wright County Economic Development Partnership may be a good opportunity to connect with. Nutt stated that she will continue discussions with that organization as well. Angela Schumann explained the importance of keeping the door open on the concept. Thares echoed Schumann and noted that technology is changing in the workforce and replacing people. Thares indicated that there have been initial discussions with State officials regarding the possibility of removing the job creation requirements from certain funding programs for purposes of business subsidy agreements. Tracy Hinz stated that she was open to the ideas and that the EDA needed to remain open to new partnerships. The EDA thanked Nutt for her time tonight and that they looked forward to receiving more updates on the concept. 9. Consideration of Industrial Land Absorption and Demand Study — Jim Gromberg, WSB & Associates, Inc. Jim Thares introduced the item and noted that early last year, WSB was tasked to complete an Industrial Land Absorption and Demand Study as part of their contracted services. Thares indicated that the draft report was completed subject to several edits. Thares encouraged the EDA to provide comments and any revisions to the report. Thares invited Jim Gromberg, WSB, to review the draft study with the EDA. Gromberg explained the background and contents of the Industrial Land Absorption and Demand Study. He noted it focused on selecting two sites for the next industrial park. Angela Schumann stated that in her view the report required a finer grain research on the potential sites. City Staff would accept comments and edits by the EDA before the second draft was proposed. Comments would be due on February 21St, 2020 by noon for inclusion in the packet for the Regular Meeting on February 26th, 2020. WSB would have an updated document ready for the EDA by that meeting. Consideration of proposed 2020 WSB Economic Development Assistance Contract — Jim Gromber2, WSB & Associates, Inc. Jim Thares explained that per the workshop sessions in January, he has revised the Economic Development Assistance Contract with WSB. Thares invited Jim Gromberg to Economic Development Authority Minutes — February 12th, 2020 Page 5 1 7 the podium. Jim Gromberg explained that 2019 was a very busy year for the Economic Development Department. He noted that Otter Creek Business Park is full if the Prospect List is successful. He also explained the UMC expansion project and the completion of the Industrial Land Study as successes. Gromberg noted with conversations with Thares, they felt it would be of benefit to include site design and illustrations for prospective businesses. They also added a component that would help focus on strategies to keep moving forward. Gromberg also discussed meeting with the EDA quarterly to provide updates. Gromberg noted that no increase for services from the previous year would be added. Bill Tapper asked if the services of WSB are helpful. Thares confirmed and stated it would help him to be more efficient in his role. BILL TAPPER MOVED TO APPROVE THE PROPOSED 2020 WSB ECONOMIC DEVELOPMENT ASSISTANCE SERVICES CONTRACT IN THE AMOUNT OF $9,300. JIM DAVIDSON SECONDED THE MOTION. Steve Johnson noted that much of Economic Development is subjective and asked if any metrics could be applied to show accomplishments. Gromberg responded that some things can be measured, but technical advice is hard to measure. Tracy Hinz expressed the importance of measuring what was completed in the previous year and updating the contract terms annually. MOTION CARRIED, 6-0. 11. Consideration of Adopting 2020 EDA Workplan Jim Thares stated that comments were received to the previous version of the 2020 EDA Workplan. Many of the comments focused on marketing. ADDED ITEM — Hospitality Study Discussion Steve Johnson noted an IEDC member has an interested hospitality prospect that would like to develop in Monticello. It was noted that the City's current Hospitality Study is outdated, and it was requested that the EDA fund the cost associated with completing a report. BILL TAPPER SECONDED THE MOTION. MOTION CARRIED, 6-0. 13. Director's Report Jim Thares provided the Director's Report. He stated that he attended the EDAM conference. He noted that it was very good. He was able to participate on a mobile tour of the Lifetime Fitness co -work space at the Southdale Mall in Edina. There were also discussions regarding smart cities and 5G technology along with site selector panel interviews. Thares also noted that Prospect List had no additions for the month, but two new concept plans development ideas were reviewed. Thares introduced Dr. Paul Ruffin. Dr. Ruffin, a local resident, who has been involved with the start-up of incubators nationally. On January 9, 2020, Dr. Ruffin sponsored a full day veteran's symposium workshop in Monticello. Dr. Ruffin stated that he owns Global Business Incubation. They focus on working with veterans, youth, and social entrepreneurs in areas of incubation and acceleration. Steve Johnson noted that the public hearing was continued from the February 12, 2020 EDA meeting. Economic Development Authority Minutes — February 26th, 2020 Page 115 Jim Thares reminded the EDA that per state statutes the public hearing is a requirement for the business subsidy write down of $731,000. Consideration of Resolution #2020-01 Approving the Establishment of Tax Increment Financing District No. 1-41 and the TIF Plan for the District Jim Thares introduced the item and explained the land component of the proposed development requires the establishment of a new TIF District allowing the EDA to purchase the 7.39 acres site adjacent to the UMC Facility for $1,031,000 and convey it to UMC for $300,000. Thares added that TIF District 1-41 is proposed as a 9 -year economic development district and will allow the EDA to capture tax increments sufficient to reimburse it for its land write down amount of $731,000 plus interest at the rate of 3.0 percent. The estimated taxable value of UMC's development is expected to be about $5,200,000 +/-. Thares asked Tammy Omdal, Northland Securities, to add clarification and more details regarding the TIF District. She noted that the TIF District would be established to capture taxes generated with the new development to repay the EDA for the conveyance of the land. Omdal indicated it was expected and anticipated that the EDA would be paid in full based on estimates, but it was not guaranteed. She further noted that increment would fluctuate based on value of property over the nine-year term. Local property tax rates also would be a factor on the increment. Omdal also noted that no TIF would be repaid to the developer. It would instead be repaid to the EDA with principle and interest. Johnson explained that the interest on the $731,000 would be estimated at $177,000 plus the $731,000. Omdal confirmed. Tim Dolan stated that as part of the Purchase and Development Contract, there is a provision that UMC will agree to a minimum assessment level of $5,200,000 and will not be able to appeal that figure during the 9 -year term of the TIF District. With that as part of the Contract, the EDA will be in very good shape to capture the full $731,000 plus the interest in the 9 -year period. BILL TAPPER MOVED TO ADOPT RESOLUTION #2020-01 ESTABLISHING TIF DISTRICT #141 AND APPROVING THE TIF PLAN FOR THE DISTRICT (SUPPORTING UMC'S 52,000 SQUARE FOOT EXPANSION PROPOSAL). Consideration of Resolution #2020-02 Approving the Purchase and Development Contract between UMC Real Estate, LLC and City of Monticello Economic Development Authority (EDA), the Land Sale by the EDA to UMC described therein, and a Business Subsidy Agreement contained within the Purchase and Development Contract. Economic Development Authority Minutes — February 26th, 2020 Page 2 15 Jim Thares opened the item for discussion. He summarized the contract terms per the EDA agenda report. Thares highlighted that new jobs required wages per the business subsidy agreement to be in the range of $15-17 an hour or more. UMC though has provided additional information showing that the average of all jobs would be $23.81per hour. Tim Dolan, Decklan Group, believed that the UMC legal counsel wanted to use the floor level wage requirements which are outlined in the State Statute for business subsidies. Thares indicated that in the TIF application packet, which is attached as an exhibit to the staff report, there is an outdated bank commitment. He noted that the State required that UMC update the letter. Dolan noted that he would send it to Jim Thares for review. The bank increased their commitment level due to the increase in building size and cost. Dolan confirmed that business equity was coming from the company's assets. It was noted that the sources and uses had been updated in the staff report as well. TRACY HINZ MOVED TO ADOPT RESOLUTION #2020-02 APPROVING A PURCHASE AND DEVELOPMENT CONTRACT BETWEEN UMC REAL ESTATE, LLC AND THE EDA, THE LAND SALE BY THE EDA TO UMC DESCRIBED THEREIN, AND A BUSINESS SUBSIDY AGREEMENT CONTAINED WITHIN THE PURCHASE AND DEVELOPMENT CONTRACT. Consideration of Resolution #2020-03 Approving an Interfund Loan, authorizing expenditures of legally available EDA funds for costs related to TIF District No. 1- 41 to be reimbursed through tax increments from TIF District No. 1-41 Tammy Omdal, Northland Securities noted that this item is required. The EDA has to authorize an interfund loan that would be paid back from future increments from the newly established TIF District for the UMC expansion project. BILL TAPPER MOVED TO ADOPT RESOLUTION #2020-03 APPROVING AN 1NTERFUND LOAN FOR THE PURPOSE OF REIMBURSING THE EDA FOR ITS UPFRONT EXPENDITURES RELATED TO TIF DISTRICT #141. Consideration of Resolution #2020-04 Approving an Interfund Loan, authorizing expenditures of up to the total balance of tax increments available from TIF District No. 1-6 to pay a portion of property acquisition costs in connection with TIF District No. 1-41 Tammy Omdal, Northland Securities, explained that the request would give the EDA more flexibility to pay a portion of the property acquisition of UMC from existing TIF District 1-6. The option to decertify the newly established TIF District 1-41 at an earlier date from the nine-year window could also occur at the EDA discretion if the increments reach the principal amount of $731,000 sooner than the allowed 9 -year time frame. JON MORPHEW SECONDED THE MOTION. MOTION CARRIED, 7-0. 11. Consideration of Approving Industrial Land Absorption and Demand Study, Jim Gromberg, WSB & Associates, Inc. Jim Thares explained that the item was brought forward at the previous EDA meeting, but staff recommended tabling the study due to changes that staff would like included in the report. Thares also indicated that there were no additional EDA comments on the draft plan after the February 12, 2020 meeting. Thares introduced Eric Maass to review the report with the EDA. Maass indicated that a completed study was not available as they wanted to make sure the EDA comments were included in the report. Maas indicated that with the current interest level, Otter Creek Business Park would be at capacity in three to four years. Maas also indicated that it was important to discuss industrial growth in the City as Xcel plans to decommission its facility in the future. Maas presented on three sites in Monticello that could be the location of new industrial business park. Discussion about the advantages and disadvantages of each of the three sites occurred with the EDA and WSB. Ultimately, WSB selected Site 1 as the preferred location of a new industrial business park. Consideration of Approving RFQ-RFP (Request for Qualifications -Request for Proposals regarding a Housing Needs and Market Demand Study (JT) A. REFERENCE & BACKGROUND At the January 22, 2020 EDA meeting, authorization was provided to draft and issue a Request for Qualifications (RFQ) for a new Housing Needs and Market Demand Study. As staff completed research of RFQs and learned more about how they are formatted, it became clear that it would better serve the EDA to prepare a combined RFQ-RFP (Request for Qualifications -Request for Proposals) as one document. Since, the original EDA motion did not include the second component, the RFP, staff is re -presenting the revised format for EDA consideration. Issuing a combined RFQ-RFP will save time by allowing the EDA to simultaneously review qualifications and proposals. This format demands more effort from consultants though it should also raise the level of perspective on the problem, proposed solutions in terms of data research, assembly, analysis and eventual presentation. The previous housing study, completed by WSB & Associates in mid -2017, projected a demand for 500 units of housing over a five-year period (2017-2021). Half of the need was projected as multi -family while the other 250 units were determined to be single-family units. Since completion of the study, a total of 143 multi -family units are now under construction (Briggs = 47 -units [Affordable] and Headwaters Development = 96 units [Assisted Living Facility]). Additional multi -family units have also received recent development approvals. The Dale Buchholz proposal (Deephaven) received development stage approval by the City Council on November 25, 2019. It anticipates developing 165 units over a three-year time frame beginning in May 2020 (one building per year of approximately 55 +/- units per year). Another multi -family development proposed on the south side of the Kjellberg Office complex on School Boulevard has received approval for a 92 -unit project. The grand total of units that are now under construction or recently approved is 400 units, exceeding the projected demand figure by 150 units. Developers continue to make inquiries regarding multi -family development. The potential total additional units related to those inquiries is approximately 352 units +/-. Several of these concepts are projects that the EDA is actively supporting or would further encourage because they are contemplated at sites owned by the EDA. With this number of active and anticipated multi -family units, questions arise as to how much demand and need exists in the community; is there still pent-up demand? Another question is how does this change the community? A third question is what is a healthy balance between single family homes and multi -family units? A fourth questions is how do economic cycles and adjustments (national and regional) effect the needs and demand findings? There are likely many more questions that come into play. EDA Agenda: 03/09/20 A comprehensive housing study would help to answer many of these questions. There are several firms that complete housing studies in the upper Midwest. At this time, staff is asking for authorization to move forward with the issuance of a combined RFQ-RFP. Al. Budget Impact: Funding for this activity is proposed to come from the EDA's General Fund. A2. Staff Impact: Staff have spent time researching both RFQs and RFPs and drafting a document format that is inclusive of both steps process. Initial research has also been completed in assembling a list of firms that should receive the RFQ-RFP. An estimate of time committed for a thorough and complete RFQ-RFP effort to date is between 46-50 hours. B. ALTERNATIVE ACTIONS 1. Thares(&,ci.monticello.mn.us Schedule March 12th, 2020 — Request for Qualifications/Proposals (RFQ/RFP) available April 10th, 2020 — Qualifications/Proposals due at 4:30 p.m. April 22nd, 2020 (Tentative Date) — EDA selects firm(s) July, 2020 — Completion of Housing Study Purpose of the RFQ/RFP This Request for Qualifications -Request for Proposals (RFQ/RFP) is for the purpose of selecting a qualified firm(s) for their approach in formulating and completing a comprehensive Housing Needs and Market Demand Study for the City of Monticello Economic Development Authority (EDA). Any professional service agreements to complete the proposed work at the agreed upon price(s) will be executed and funded through the Monticello EDA. In 2017, the Monticello EDA adopted a Housing Study developed by WSB & Associates. The 2017 study is attached as a resource only. The EDA's goal from the new study is to gain a clearer understanding of housing demand in various market segments and geographic areas of the community, layering analysis with data. Due to the increased interest and demand for multi -family housing options, the City of Monticello is hereby accepting proposals for a comprehensive Housing Needs and Market Demand Study. Since 2017, the City approved two multi -family residential facilities with a total of 143 units. There are two more multi -family proposals with 247 units that have recently received land use approvals. In addition, the City continues to receive developer inquiries regarding multi -family housing proposals. The City also recently approved a 327 - lot single family and townhome subdivision within its annexation area. The successful firm authorized to proceed with the Housing Needs and Market Demand Study will be responsible for conducting their own on-site research. City staff will provide reference documents and studies that may be requested as a supportive step in the research. Specifications for the Qualification Submittal All Qualification submissions are to include the following components. 1. Project Overview a. Proposal Understanding: include a summary of the consultant's understanding of the project as described in this request and approach to project completion 2. Qualifications a. General Information: provide a brief overview of firm, including qualifications to execute the contract b. Personal Qualifications: i. Identification of lead project manager and contact information ii. Name, proposed role, hourly rate, anticipated time commitment to the project, and biography of each team member 3. References a. Include a list of at least three municipal clients for which consultant has conducted a similar work scope Specifications of the Proposal Submittal 1. Proposed Work Plan and Schedule: provide a proposed work plan divided into distinct phases and including a list of key tasks, milestones, approximate dates, project deliverables and resource needs 2. Budget: identify cost estimates for each segment of the scope of services and work plan. a. Staff and public meetings (include anticipated number) b. Plan research, drafting and revision (include anticipated number and any consulting staff review) c. Stakeholder session d. Production of final document(s) e. Any other anticipated budgetary needs including incidentals 3. Baseline Project Requirements: at a minimum, the project should address the following quantitative and qualitative components. Quantitative Data: • Local and regional demand for all housing types, including but not limited to the following specific types: o Single Family ■ Upper-end/custom ($450,000+) ■ Detached townhome/single-level "patio' home ■ Narrow -lot single-family o Multi -Family ■ Market -rate apartments ■ Townhomes ■ Duplex ■ Condominium units ■ 4-plex units o Senior ■ Independent ■ Assisted ■ Continuum of care • Examination of demand for affordable units as a sub -set of the above, with exception of upper -end single-family • Sales and turnover rate of all housing types • Vacancy data for rental units • Average market value for each owner -occupied unit type • Average rental rates for each rental unit type • Regional comparison data for cities of Becker, Big Lake, St. Michael and Albertville, as examples Qualitative Analysis: Stakeholder Session • Sales position • Trends • Siting factors and considerations Projections and Analysis • Identification of gaps and opportunities in existing housing stock. • Projected data for a five to seven-year outlook for the various market segments. • Demographic shifts impacting housing trends and projections. • Wage, building cost, and other factors influencing housing. • What does the data tell us about the opportunity for: ■ Upper-scale/luxury housing in the Downtown? ■ Upper -end single-family housing • What does the data tell us about the sale quality and the ability to maintain and improve existing 1940s -1970s core -city housing stock? • What does the data tell us about the need for additional multi -family units, specifically affordable or workforce units? Right to Reject Proposals The City and Economic Development Authority reserves the right to reject any and all proposals. This RFP does not obligate the City to enter into a contract, nor does it obligate the City to pay for any costs incurred in preparation and submission of proposals or in anticipation of a contract. EDA: 03/11/20 6. Consideration of Adopting Resolution #2020-05 Approving the First Amendment to the Preliminary Development Agreement with Beard Group, Inc. for Block 52 Redevelopment by extending the termination date by 11 months to February 28, 2021 (JT) A. REFERENCE AND BACKGROUND: The EDA is being asked to consider adopting Resolution #2020-06 approving the First Amendment to the Preliminary Development Agreement (PDA) with Beard Group, Inc. which was approved by the EDA on July 10, 2019. The PDA termination date is March 31, 2020. In recent discussions with the Beard Group, Inc., they have indicated an interest in extending the agreement and continuing to work toward entering into a formal development agreement in connection with potential Block 52 Redevelopment efforts. Under the PDA, the EDA's responsibilities included ongoing efforts of land assembly for a meaningful and effective redevelopment project as well as the initial steps in the formation of the appropriate pubic funding structure, including tax increment financing. Beard Group's responsibilities include: completing financial due diligence for a successful redevelopment project, determine the level of public assistance needed to support a project and performing any studies that may be needed or helpful in moving forward with a project. Al. STAFF IMPACT: There is a limited staff impact in considering the PDA. The EDA attorney drafted the resolution and the First Amendment to the PDA. The Economic Development Manager reviewed and organized the prepared materials for consideration by the EDA. A2. BUDGET IMPACT: Beard Group, Inc. provided an escrow deposit of $5,000 to support ongoing legal and financial advisory expenses incurred by the EDA. At this point in time, the funding level provided by Beard should be sufficient to cover the limited amount of expenses associated with the extension of the PDA termination date to February 28, 2021. A3. STRATEGIC IMPACT: The Block 52 Redevelopment efforts are part of the City of Monticello's strategic goals so noted in the 2017 Strategic Plan as well as in the 2018 update. Goal #1 "Create & Preserve Sustainable Livability" with a sub -goal of Working to attract and develop a healthy mix of housing options. This aligns with the EDA's consideration of the First Amendment to the PDA with the Beard Group. Also, Goal #4 "Support A Vibrant Economy" along with a sub -goal of "Support development and redevelopment of publicly owned property" both fit the entire Block 52 effort. The City and EDA own approximately 55 percent of Block 52 at this time. There are other key properties in the block which may be willing to be enter into discussions for possible inclusion in a redevelopment concept. In addition, the Small Area Study (SAS), adopted by the EDA and City Council in late 2017, focuses on redevelopment of Block 52 as a key strategy to revitalize the downtown area. The SAS plan calls for adding residential units (with associated purchasing power) in the core City EDA: 03/11/20 and specifically in Block 52. The specific Block 52 plan calls for ground floor entertainment, dining and retail uses as well. The Beard Group concept meets those objectives by adding 95 residential units and a restaurant and commercial site along MN TH #25. It is strongly believed that a development modeled after the Beard concept will make a positive impact to Monticello's community and economic vitality. It should also be noted that staff is planning to schedule a meeting of all Block 52 property owners to provide an update to them and allow for interaction and questions with Beard Group, Inc. staff. The aim is to increase transparency with regard to the EDA's Block 52 goals and boost communication among all impacted parties. That meeting date has not been scheduled yet due to time constraints by Beard Group as it winds up the completion of a recent development project in Robbinsdale, MN. Staff will keep the EDA informed as to date and time for this proposed meeting. B. ALTERNATIVE ACTIONS: 1. Motion to adopt Resolution #2020-05 approving the First Amendment to the PDA between Beard Group, Inc. or its assigns and the EDA in connection with the potential mixed-use redevelopment in Block 52 by extending the termination date by 11 months to February 28, 2021. 2. Motion to deny adoption of Resolution #2020-05. 3. Motion to table adoption of Resolution #2020-05 for further research and/or discussion. 4. Motion of other as determined by the EDA. C. STAFF RECOMMENDATION: A Preliminary Development Agreement is essentially an agreement wherein both parties agree to continue working toward a final formal Development Agreement. PDA's set out certain benchmarks and performance requirements of the parties that are signatory to a PDA with the ultimate goal of reaching a formal development agreement. There has been modest but important progress made by the EDA in entering into discussions with various property owners in Block 52 related to participating in redeveloping the Block. The Beard Group has also indicated a willingness to take part in the property owner discussions as well. In light of this limited by critical success, staff recommends that the EDA proceed per Alternative # 1. Beard's proposed redevelopment concept is also attached to this report as a recall prompt regarding the size and scope of the proposal. The total investment of this concept as presented likely reach a range of $26,000,000 to $30,000,000 +/-. This type of investment in housing and commercial facilities would have a significant impact in revitalizing downtown Monticello. EDA: 03/11/20 D. SUPPORTING DATA: a. Resolution #2020-05 b. Beard Group, Inc.'s Proposed Block 52 Redevelopment Concept EDA RESOLUTION NO. 2020-05 RESOLUTION APPROVING A FIRST AMENDMENT TO THE PRELIMINARY DEVELOPMENT AGREEMENT BETWEEN THE CITY OF MONTICELLO ECONOMIC DEVELOPMENT AUTHORITY AND THE BEARD GROUP, INC. BE IT RESOLVED BY the Board of Commissioners ('Board") of the City of Monticello Economic Development Authority (the "Authority") as follows: Section 1. Recitals. 1.01. Pursuant to its authority under Minnesota Statutes, Sections 469.090 to 469.1081, as amended, the Authority administers its Central Monticello Redevelopment Project No. 1 (the "Project"), for the purpose of facilitating the redevelopment of certain substandard property within the Project. 1.02. The Authority and the City of Monticello (the "City") own certain property (the "Property") within the Project, which Property has been the subject of certain preliminary negotiations with The Beard Group, Inc. (the "Developer") for purposes of constructing a mixed- use (multi -family residential and commercial) development and related parking on the Property (the "Development"). 1.03. The Authority and the Developer executed a Preliminary Development Agreement, dated as of July 10, 2019 (the "Agreement"), providing for the performance of certain activities on the part of the parties in preparation for the negotiation of a definitive Purchase and Redevelopment Contract in connection with the Property. 1.04. The parties have negotiated and propose to execute a First Amendment to the Agreement (the "First Amendment") to extend the deadline for the completion of these preliminary activities for a period of eleven months. Section 2. First Amendment Approved. 2.01. The First Amendment as presented to the Board is hereby in all respects approved, subject to modifications that do not alter the substance of the transaction and that are approved by the President and Executive Director, provided that execution of the First Amendment by such officials shall be conclusive evidence of approval. 2.02. The President and Executive Director are hereby authorized to execute on behalf of the Authority the First Amendment and any documents referenced therein requiring execution by the Authority, and to carry out, on behalf of the Authority, its obligations thereunder. 2.03. Authority staff and consultants are authorized to take any actions necessary to carry out the intent of this resolution. President ATTEST: Secretary FIRST AMENDMENT TO PRELIMINARY DEVELOPMENT AGREEMENT (Block 52 Multi -Use Development) THIS FIRST AMENDMENT TO PRELIMINARY DEVELOPMENT AGREEMENT (this "Agreement"), dated March _, 2020, by and between the City of Monticello Economic Development Authority, a public body corporate and politic and political subdivision of the State of Minnesota (the "Authority"), and The Beard Group, Inc., a Minnesota corporation, or permitted assigns (the "Developer"); WITNESSETH: WHEREAS, the Authority and the City of Monticello ("City") own certain property within an area of the City designated as Block 52, which property is legally described in Exhibit A attached to the Initial Agreement (as defined hereinafter) (the "Authority Property"), and the Authority is negotiating the purchase of certain additional property within said Block 52, which property is legally described in Exhibit A attached to the Initial Agreement ("Third -Party Property" and together with the Authority Property, the "Development Property"); and WHEREAS, the City and Authority previously determined that it is in the best interests of the City that the Developer be designated as the sole developer of the Authority Property during the term of an initial Preliminary Development Agreement between the parties, dated as of July 10, 2019 (the "Initial Agreement"); and WHEREAS, the parties have worked diligently to perform their obligations under the Initial Agreement and now wish to extend the term of the Initial Agreement pursuant to this First Amendment. NOW THEREFORE, in consideration of the foregoing and of the mutual covenants and obligations set forth herein, the Authority, the City and the Developer hereby agree as follows: 1. During the term of this First Amendment, the parties agree to continue working cooperatively toward the goals outlined in the Initial Agreement, pursuant to its terms. 2. This First Amendment shall terminate by its terms if the governing bodies of the Authority and City have not approved the Contract (as defined in the Initial Agreement) by February 28, 2021. Upon such termination, the Developer remains obligated to pay any costs payable under paragraph 7 of the Initial Agreement that were incurred by the Authority prior to such date. 3. Except as amended by this First Amendment, the Initial Agreement shall remain in full force and effect. Upon execution, the Developer shall reimburse the Authority for all out -of pocket -costs incurred by the Authority in connection with negotiating, drafting and approval of this First Amendment. 4. NOW, THEREFORE, in consideration of the foregoing and of the mutual covenants and obligations set forth herein, the parties agree as follows: 584783v4MN 190-159 I . Negotiations between the parties shall proceed in an attempt to formulate a definitive purchase and development contract ("Contract") based on the following: (a) the Developer's Proposal, which shows the scope of the proposed Development in its latest form as of the date of this Agreement, together with any changes or modifications required by the Authority; (b) a mutually satisfactory Contract to be negotiated and agreed upon in accordance with negotiations contemplated by this Agreement; (c) such documentation regarding economic feasibility of the Development as the Authority may wish to undertake during the term of this Agreement; and (d) other terms and conditions of this Agreement. 2. It is the intention of the parties that this Agreement: (a) documents the present understanding and commitments of the parties; and (b) will lead to negotiation and execution of a mutually satisfactory Contract for the Development prior to the termination date of this Agreement. The Contract (together with any other agreements entered into between the parties hereto contemporaneously therewith) when executed, will supersede all obligations of the parties hereunder. 3. During the term of this Agreement, the Developer shall: (a) Submit to the Authority a design proposal to be approved by the Authority showing the location, size, and nature of the proposed Development, including floor layouts, renderings, elevations, and other graphic or written explanations of the Development. The design proposal shall be accompanied by a proposed schedule for the starting and completion of all phases of Development. (b) Submit an overall cost estimate for the design and construction of the Development. (c) Submit a time schedule for all phases of the Development. (d) Undertake and obtain such other preliminary economic feasibility studies, income and expense projections, and such other economic information as the Developer may desire to further confirm the economic feasibility and soundness of the Development. (e) Submit to the Authority the Developer's financing plan showing that the proposed Development is financially feasible, and, to the extent Developer seeks public financial assistance in any form (including reduced land cost, waiver of fees, and tax increment financing), evidence that such assistance is reasonably necessary to make the Development financially feasible. (f) Furnish satisfactory financial data to the Authority evidencing the Developer's ability to undertake the Development. 584783v4MN l 90-159 2 (g) Furnish any other information reasonably requested by the Authority in connection with the Development, including without limitation information concerning noise or environmental factors. 4. During the term of this Agreement, the Authority agrees to: (a) Commence the process necessary to undertake such public assistance as is necessary pursuant to the terms of the Proposal, including without limitation commencement of actions necessary to terminate all existing agreements and tax increment financing districts related to the Development Property, and to create a new redevelopment tax increment financing district that includes the Development Property. (b) Proceed to seek all necessary information with regard to the anticipated public costs associated with the Development. (c) Estimate the Authority's level and method of financial participation, if any, in the Development and develop a financial plan for the Authority's participation. (d) Proceed to use good -faith efforts to obtain site control of the Third -Party Property. 5. It is expressly understood that execution of the Contract shall be subject to: (a) A determination by the Authority in its sole discretion that its undertakings are feasible based on (i) the projected tax increment revenues and any other revenues designated by the Authority (to the extent requested by Developer); (ii) the purposes and objectives of any tax increment, development, or other plan created or proposed for the purpose of providing financial assistance for the Development, if any, including the determination that such assistance is reasonably necessary in order to snake the Development possible; and (iii) the best interests of the City and Authority. (b) A determination by the Developer that the Development is feasible and in the best interests of the Developer. (c) The Authority obtaining site control of the Third -Party Property, or the Developer submitting a revised plan for the Development located on the Authority Property and less than all of the Third -Party Property, upon mutual agreement of the parties. 6. This Agreement is effective from the date hereof through March 31, 2020, unless extended with approval of the Authority's board of commissioners. After expiration of the term of this Agreement, neither party shall have any obligation hereunder except as expressly set forth to the contrary herein. 7. The Developer shall be solely responsible for all costs incurred by the Developer. In addition, the Developer shall reimburse the Authority for Administrative Costs, as hereafter defined; provided that the Developer shall not be responsible for Administrative Costs exceeding $5,000 unless and until satisfaction of one of the conditions provided in Section 5(c) hereof. For the 584783AMN190-159 3 purposes of this Agreement, the term "Administrative Costs" means out of pocket costs incurred by the Authority and City attributable to or incurred in connection with the negotiation and preparation of this Agreement, the Contract, and other documents and agreements in connection with the Development, including without limitation all costs in connection with replatting of the Development Property and the cost of financial advisors, attorneys, and planning, engineering, and environmental consultants. In order to secure payment of the Administrative Costs, the Developer has delivered to the Authority funds in the amount of $5,000 upon execution of this Agreement. If at any one or more times during the term of this Agreement, the Authority determines that Administrative Costs will exceed $5,000 and that additional security is required, the Authority shall notify the Developer of the amount of such additional security. Within ten calendar days of receipt of this notice, the Developer shall either (a) deliver to the Authority the required additional security (if one of the conditions of Section 5(c) has been met); (b) acknowledge receipt of notification by the Authority and defer payment of such additional security until one of the conditions of Section 5(c) has been met; or (c) notify the Authority that it elects to terminate this Agreement. The Authority will utilize the funds delivered by the Developer to pay or reimburse itself for Administrative Costs. Upon termination of this Agreement, the Authority will return to the Developer the funds paid by the Developer to the Authority pursuant to this Section 7, less an amount equal to the Administrative Costs incurred by the Authority through the date of notice of termination. For the purposes of this paragraph, Administrative Costs are considered to be incurred if they have been paid, relate to services performed, or are payable under a contract entered into, on or before the date of the notice of termination. This Section 7 shall survive termination of this Agreement and shall be binding on the Developer regardless of the enforceability of any other provision of this Agreement. 8. This Agreement may be terminated upon ten (10) days written notice by either party to the other of any of the following events of default, only if such events of default shall remain uncured during the aforementioned notice period: (a) an essential precondition to the execution of the Contract cannot be met; or (b) if either party determines that an impasse has been reached in the negotiation or implementation of any material term or condition of this Agreement or the Contract. 9. During the term of this Agreement, the Authority agrees that it will not negotiate or contract with any other party concerning the development of the Development Property. The Developer shall not assign or transfer its rights under this Agreement in full or in part, or enter into any subcontracts to perform any of its obligations hereunder, without the prior written consent of the Authority; provided that the Developer may at its sole discretion assign this Agreement to a related entity formed expressly for purposes of the Development. 10. In the event that either party fails to comply with any of the provisions of this Agreement, the other party may proceed to enforce this Agreement by appropriate legal or equitable proceedings, or other similar proceedings, and the non -prevailing party shall pay all costs of such enforcement, including reasonable attorneys' fees. 11. If any portion of this Agreement is held invalid by a court of competent jurisdiction, 584783v4MN 190-159 4 such decision shall not affect the validity of any remaining portion of the Agreement. 12. In the event any covenant contained in this Agreement should be breached by one party and subsequently waived by another party, such waiver shall be limited to the particular breach so waived and shall not be deemed to waive any other concurrent, previous or subsequent breach. 13. Consideration of WSB Economic Development Assistance Services Quarterly Report #2020-1(JT) A. REFERENCE AND BACKGROUND: This item is presented to the EDA as an update related to the 2020 WSB Economic Development Services Assistance Contract. As part of the 2020 Contract, WSB is required to provide quarterly updates of the various Economic Development support activities to the EDA in a written format. Also, per the contract, WSB is required to provide quarterly regional and/or national economic trends update from a published journal -periodical. This feature was added into the contract as an attempt to bring more value to the EDA. To date in 2020, the engagement and support efforts by WSB have increased. Those efforts are appreciated by staff. Specifically, they have been apprised of the status of Project #6580 which has an identified funding gap and in response have been tasked with approaching MN -DEED officials regarding the possibility of participating in the project through the Minnesota Investment Fund (MIF) program. WSB is also working on the final edits to the Industrial Land Absorption and Demand Study, approved by the EDA at the February 26, 2020 meeting. Al. Staff Impact: There is a very modest staff impact in considering the WSB Quarter 2020-1 Update. The Economic Development Manager devoted less than an hour reviewing the WSB Quarterly update and in preparing the update report for the EDA meeting. A2. Budget Impact: The budget impact is tied to the WSB Economic Development Assistance Services contract for 2020. The total amount of the contract for the second consecutive year is $9,300. Funds for the 2020 WSB Economic Development Assistance Services Proposal were budgeted in the Marketing line item, a component of the overall EDA budget which was approved at the August 2019 meeting. Project 6580: The project is currently moving forward with the company receiving bids on the proposed construction of the new facility. The project does currently have a projected gap in co funding and the city is working to identify potential sources to help fill that gap. Economic Trends: The US economy is expected to grow at about 2% this year based upon current estimates. This rate of growth will be affected by the coronavirus, but the direct effect is yet to be determined as the extent of the spread of the virus is still unknown. The economy has already seen a drawback of the stock market and the slight reduction in trade resulting for the virus. However, this is the highest vacancy rate in the metro area (tied with the Northeast region) resulting in an overall vacancy rate for the metro area of 4.5%. The effect of the federal reserve lowing interests to counteract the effects of the coronavirus may help to increase the number of new facilities resulting in an increase in vacancy rates over the short term. The lease rates for the Northwest region have also remained stable over the last 12 months reflecting the absorption rate for new properties matching the availability of those properties. Economic Development Report (JT) A. 300 — 4tn Street East Update: The acquisition transaction closing for this residential property occurred on December 6th, 2019. Within a few days of closing, Public Works Department Staff completed a walk-through of the existing house and found the water pipes were frozen. Water was then shut off at the service curb -stop. Community Development Department Staff completed a walk-through inspection with a demolition hazardous materials inspector in early February. The inspector will provide a written report to staff which will be presented to the EDA with photos and a proposed plan for demolition of the structures (house and garage). It should be noted that the property has a significant amount of debris and junk in both structures. Staff is in the process of gathering information regarding the cost to remove the junk prior to demolition activities. B. Facade Improvement Grant Program Update: The Cornerstone (154 West Broadway) Facade Improvement Grant Agreement in the amount of $100,000, entered into in September 2019, has a non-performance sunset -expiration date of March 24, 2020. Staff is planning to ask the Block 35 property owners and businesses to again attend a funding status update and informational view sharing (level of interest) meeting in the coming months (no specific date set at this time). A summary of the Downtown Goal and Objectives workshop (January 30, 2020 event with John Davis) will also be shared with attendees at that time. C. IEDC Roundtables: The IEDC discussed the format of potential Roundtable events at its meeting on March 3, 2020. They selected a topic and the meeting format: [State Financial Assistance Programs and Local Financial Assistance Programs]; the meeting format will be business casual at a restaurant in the evening hour [4:30 p.m. to 6:15 p.m. with a target date of June 2020]. The IEDC reached a consensus that they would like to hold two more additional Roundtable events later in 2020 and early 2021 with those topics to be: Overview of the Development Review Process and Workforce Development and Training. See Exhibit A. staff report prepared for discussion at IEDC meeting. D. Initiative Foundation: Thank You Letter; See Exhibit B E. Co -Work Space Initiative: Follow-up tasks from the February 12, 2020 meeting included participation in tours of six buildings in downtown Monticello. These tours were completed by the Co -Work Committee and the St. Cloud investor group during February. Committee members also attended the open house at the newly established St. Michael Co - Work facility. The St. Cloud investors have stated that they will continue to explore market sufficiency, entrance costs and the approval process involved in establishing a co -work site in the City. They have further stated that they believes this would be business investment and privately operated enterprise. They indicate that the use of EDA finance programs to acquire or renovate property may be a future need. Staff will continue to follow up with and support the efforts as needed and keep the EDA informed of the progress of this concept. E. Prospects: See attached Exhibit C.
