RESOLUTION NO. 2022-42
RESOLUTION AUTHORIZING TRANSFER OF PROPERTY BY THE CITY OF
MONTICELLO TO THE CITY OF MONTICELLO ECONOMIC DEVELOPMENT
AUTHORITY
WHEREAS, the City of Monticello (the "City") is the owner of certain real property legally
described as set forth in Exhibit A (the "Property"); and
WHEREAS, the Property is currently vacant land; and
WHEREAS, there is no future use of the Property contemplated by the City; and
WHEREAS, M & B on Chelsea, LLC, a limited liability company under the laws of Minnesota
(the "Developer") desires to expand its existing business, and create additional parking and loading
areas; and
WHEREAS, the City desires to work in conjunction with the City of Monticello Economic
Development Authority (the "EDA") to facilitate the conveyance of the Property to the Developer;
and
WHEREAS, the City is authorized to convey real property to the EDA pursuant to Minnesota
Statutes, Sections 465.035 and 471.64; and
WHEREAS, the City and the EDA have followed applicable statutory provisions, including but
not limited to, Minnesota Statutes, Section 465.035, Minnesota Statutes, Section 469.101 and
Minnesota Statutes, Section 471.64, in authorizing the conveyance of the Property; and
WHEREAS, the City has determined it is most cost effective to convey the Property to the
EDA in consideration of one dollar ($1.00) and other good and valuable consideration pursuant to
this Resolution and a standard quit claim deed; and
WHEREAS, the Property shall be subsequently conveyed by the EDA pursuant to Minnesota
Statutes, Section 469.105 for development purposes; and
WHEREAS, the City finds and determines that conveyance of the Property as contemplated
herein to the EDA is for a public purpose and is in the public interest.
NOW THEREFORE, BE IT RESOLVED by the City Council as follows:
1. The recitals set forth in the preamble to this Resolution and the exhibits attached
hereto are incorporated into this Resolution as if fully set forth herein.

2. The City Council finds and determines that the requirements of Minnesota Statutes,
Section 462.356, subdivision 2 are hereby satisfied.
3. The City Council finds and determines that the transaction herein referenced and
contemplated is for a public purpose and is in the public interest.
4. The City Council approves the conveyance of the Property to the EDA pursuant to
Minnesota Statutes, Section 465.035 and Minnesota Statutes Section 471.64, and
authorizes and directs the Mayor and City Clerk to execute the deed and related
documents necessary to facilitate the transaction referenced herein and contemplated
herein, with all such actions to be in accordance with the terms and conditions set forth
in this Resolution.
5. The City shall convey the Property to the EDA in consideration of one dollar ($1.00) and
other good and valuable consideration pursuant to this Resolution and a standard quit
claim deed, and the EDA shall subsequently sell and convey the Property pursuant to
Minnesota Statutes, Section 469.105 to the Developer for development purposes,
including for the use of the expansion of the Developer's existing business.
6. The subsequent conveyance of the Property by the EDA to the Developer shall be
subject to the terms and conditions as set forth in the purchase agreement.
7. The Mayor and the City Clerk of the City are hereby authorized to execute all required
documents necessary in furtherance of this property transfer.
8. The Mayor and City Clerk, staff and City Attorney are hereby authorized and directed
to take any and all additional steps and actions necessary or convenient in order to
accomplish the intent of this Resolution.

thereof, Wright County, Minnesota, which lies easterly of the following described line:
Beginning at the most northerly corner of Lot 1, Block 1, said OTTER CREEK CROSSING 4TH
ADDITION; thence South 37 degrees 52 minutes 15 seconds West, assumed bearing along the
common lot line between said Lot 1 and said Outlot B, a distance of 73.65 feet; thence South 47
degrees 51 minutes 30 seconds West, along said common lot line, a distance of 66.41 feet; thence
North 87 degrees 18 minutes 42 seconds West, along said common lot line, a distance of 75.26

northeasterly line of said Outlot A, thence South 49 degrees 29 minutes 27 seconds East, along
said parallel line, a distance of 223.19 feet to the southeasterly line of said Outlot A, and said line
there terminating.
