Inaddition,staffhasdiscussedwithVeoliatheimpactofeconomictimesontheCity,and incooperationasaresponsiblepartner,VeoliahascutintotheircontractedCPIand reducedthe2010feetolessthana1%increaseandproposed“noincrease”inthecostof servicefor2011byinternallystreamliningatourfacility,negotiatingdiscountswith vendorsandimprovingoperationefficienciesofthewastewatertreatmentandhandling operations. The2010costforoperatingandmaintainingthewastewatertreatmentplantfromVeolia Waterwas$750,281.Thisamountincluded$42,156forrepairpartsformaintenance, $50,628fornaturalgasand$10,212forpolymer.Therepairpartsarearefundable portionofthebudget.Ifthebudgetitemexpenseisnotusedthefundsarereturned;ifthe budgetitemexpensegoesover,anadditionalexpenseiscompensatedatactualcostonly. ItshouldbenotedthattheservicereceivedfromVeoliahasbeenexceptional.Veolia WaterinoperationoftheMonticelloWastewaterTreatmentPlanthas,ineachofthepast sevenyears,achievedthe“OutstandingCompliance,MaintenanceandManagement Award”fromtheMinnesotaPollutionControlAgency.Thisawardreflectsnotonly competencybutalsotheefficiencyofthemanagementinregardtotheoperatinggroupor staff.VeoliaWateralsohasanoutstandingsafetyrecordhavingjustcompleted19years withoutanylosttimeorOSHArecordableincidentsattheMonticellofacility. Veolia’smarginruns2-3%,butcomparativelyasshowninthesupportingdocumentation ofMr.Keyes,thepurchasingpoweroftheVeoliaCorporationallowsdeepdiscountsthat theCitycouldnotmatchonitsown.Asanexample,thecostforpolymers,chemicalsand outsidelaboratoryservicesthatVeolianegotiatesatbulksupersedesthemarginunder whichtheyoperateourplant.Additionally,thesupportstaffoftheentirecorporation includingtechnical,legal,developmentandsafetydepartmentsareanadditionalbenefit theCityrealizesinhavingtheVeoliaWaterdivisionmanageourtreatmentsystemand areallincludedinthemarginofoperation. Allofthefactornumbershavebeenupdatedtoreflectthecurrentconditionsatthe wastewatertreatmentplantincludingtheflow,BODandtotalsuspendedsolids. Theresearchrevealsrelativelyfewvendorsexistinthefieldwhooffer“largescale” operationssuchasoursthatarefromoroperateinthefivestatearea.Otherfirmsthatdo provideservicehavebeenlessflexibleintheCPItheyoffertotheircontractures. Bringingthisservicein-househasbeenlookedatbutcurrentlythereisnotsufficientstaff orexpertisetooperateormanagethewastewatertreatmentplant,includingthehandling ofthebiosolids.ThemarginVeoliaoperatesunderandconsiderationofwhatservices areofferedwithdiscountsavailabletothemmakeitdifficultfortheCitytocompetein thisfieldofservice. Duetothegoodserviceandstablepricing,staffhasinpastnegotiatedwithVeolia,dueto thestabilityoftheorganization,expertise,qualityofserviceandstablepricingstaff believesthatthebestoptionatthistimeistocontinuewithapositivestatusquo. Consideration of authorizing contract renewal negotiations with Veolia Water for operating the Monticello Wastewater Treatment Facility (BP) A. REFERENCE AND BACKGROUND: The City Council is asked to consider authorizing contract renewal negotiations with Veolia Water for operating the Monticello Wastewater Treatment Facility. The current contract with Veolia Water, previously Professional Services Group (PSG), expires January 2011. This was a 5-year contract that began January 1, 2006. Veolia is proposing another 5-year contract which is anticipated to run from January 1, 2011 thru January 1, 2016 to operate and maintain the Monticello Wastewater Treatment Facility, and facilitate the application of bio product to the city-owned farm. Other contract operations of the facility will be requested to match the city’s policies; for example, the mowing policy currently being established. The numbers will be updated to reflect the current conditions at the wastewater treatment facility including the flow, BOD and total suspended solids, and required limits allowing for future improvements to the plant’s operation and expansion if it occurs, with consideration for future use of the application site within this contract period. Enclosed for your review is a letter from Peg Becker, Area Manager for Veolia Water. A1. Budget Impact: None at this time. A2. VWNACagreestomaintainsuchevidencesforaperiodofthree(3)years fromthedateservicesorpaymentwerelastprovidedormadeorlongerif anyauditinprogressrequiresalongerretentionperiod.Provided,however, thattotheextentallowablebylawContractor’sfixedAnnualFeewillnot besubjecttoexaminationoraudit. 1.14Allplans,diagrams,analyses,reports,data,andinformationgeneratedin connectionwithperformanceoftheagreementshallbecometheproperty oftheCITY.TheCITYmayusetheinformationforitpurposes.Such usebytheCITYshallnotrelieveanyliabilityonthepartofVWNAC. 1.15Duringtheperformanceofthiscontract,VWNACshallnotdiscriminate againstanyemployeeorapplicantsforemploymentbecauseofrace,color, creed,religion,nationalorigin,sex,sexualorientation,maritalstatus, statuswithregardtopublicassistance,disability,orage.VWNACshall postinplacesavailabletoemployeesandapplicantsforemployment, noticessettingforththeprovisionsofthisnon-discriminationclauseand statingthatallqualifiedapplicantswillreceiveconsiderationfor employment.VWNACshallincorporatetheforegoingrequirementsof thisparagraphinallofitssubcontractsforprogramwork executedduring theTermofthisAgreement,andwillrequireallofitssubcontractorsfor suchworktoincorporatesuchrequirementsinallsubcontractsfor programwork. VWNAC-MonticelloOM&MAgreementPage4of30 June2,November5,2010DRAFT 2.ScopeofServices-VWNAC 2.1 WithinthedesigncapacityandcapabilityoftheProject,manage,operateand maintaintheProjectsothateffluentdischargedfromtheProjectmeetsthe requirementsandconditionsspecifiedinAppendix“C”.VWNACmay modifytheprocessand/orfacilitiestoachievetheobjectivesofthis Agreement;provided,however,nomodificationshallbewithoutCITY's priorwrittenapproval,ifthecompletemodificationCostshallbeinexcess ofTwoThousandFiveHundredDollars($2,500.00). 2.2 ProvideanddocumentallMaintenanceandRepairsfortheProject,exclusive ofVWNACplantlabor.ThetotalamountforMaintenanceandRepairsthat VWNACwillberequiredtopaywillnotexceedtheMaintenanceand RepairLimitasspecifiedinArticle4.1. 2.3 VWNACwillprovideCITYwithanaccountingofMaintenanceandRepairs onamonthlybasis.VWNACwillprovideCITYwithdetailedinvoicesfor MaintenanceandRepairsovertheMaintenanceandRepairLimit. 2.4 Provideacomputerizedmaintenancemanagementsystem(CMMS).Such programwilldocumentmaintenanceactivities,aswellasmaintainhistorical information.Allcomputerhardwarelocatedonsitewillbecomethe propertyofCITYattheterminationofserviceunderthisAgreement.The CMMSmaybepurchasedbyCITYattheterminationofservicesunderthis Agreementfromthevendor.DatawillbetransferredtotheCITYviaOracle datamanagementtools. 2.5 DeveloprepairorreplacementguidelinesforCapitalExpenditures.Such guidelineswillincorporate,amongotheritems,notificationtoCITYofneed toreplaceandastandardrequisitionforCapitalExpenditures. 2.6 Provideacomputerizedprocesscontrolprogram.Suchprogramwill maintainaccuratecurrentrecords,aswellashistoricaldataandtrends.The processcontrolprogrammaybepurchasedbyCITYfromthevendor.Data willbetransferredtotheCITYviaOracledatamanagementtools. 2.7 Maintainthepresentindustrialwastesamplingandlaboratoryanalysis programasdescribedinAppendix“D”.Resultsofallindustrialsampling andtestingshallbereportedtoCITYinatimelymanner. 2.8 Provideforalllaboratorytestingandsamplingrequiredbytheplant performanceportionofcurrentNPDESPermit,processcontrolandthe currentdisposalprogram.Anychangesinrequirementsbyanyauthorized Agency,City,County,StateorFederalGovernmentsmayincreaseor decreasethescopeofthisAgreement. VWNAC-MonticelloOM&MAgreementPage5of30 June2,November5,2010DRAFT 2.9 PreparetherequiredNPDESPermitplantperformancereportsandsubmit thesetoCITYfortransmittaltotheappropriateagencies. 2.10 VWNACwillstafftheProjectwithalicensedStateofMinnesota“A” WWTPoperatorperMinnesotarequirementsandaminimumofone(1) additionaloperatorwitha“C”WWTPoperatorlicenseandthequalifications towritethe“B”WWTPlicenseunlessotherwiseagreedtoinwriting betweenVWNACandtheCITY. 2.11 StafftheProjectwithemployeeswhohavemetthecertificationrequirements oftheStateofMinnesota.MeettheDepartmentofTransportation requirementsforappropriateemployeesdrivingovertheroadsludge vehicleswithannualdrivers’licenseschecks. 2.12 VWNACwillprovideongoingtrainingandeducationforappropriate personnelinallnecessaryareasofmodernwaterand/orwastewaterprocess control,operations,maintenance,safety,andsupervisoryskills. 2.13 ProvideadequatestafftoproperlyoperateandmaintaintheFacilitytomeet theregulatoryagencyandsafetyrequirementseight(8)hoursperday MondaythroughFriday,exceptforholidays.Onweekendsandholidays, staffwillbeprovidedforthree(3)hourseachday.Standbyon-callpersonnel willbeavailablesevendaysperweek,twenty-four(24)hoursperday. 2.14 CooperatewithCITYtocoordinatecostaccountingandinventorycontrol procedures. 2.15 PayallcostincurredinnormalProjectoperations. 2.16 Provideforthedisposalofsludgetothepermitteddisposalsites,noneof whicharefurtherthanten(10)milesfromProject.VWNACwillassist CITYtoacquireadditionalpermittedsludgedisposalsites.TheAnnualFee includes$1,200foroutsidelaboratoryservices. 2.17 ProvideVWNAC’sfull-timesafetyprogramincludinganEmergency ResponsePlanandHazardousMaterialCommunicationProgram.VWNAC willmeetallMNOSHArequirementswithdocumentedSOP’s(Standard OperatingProcedures)onallequipmentattheProjectincludingelectrical, mechanical,hydraulic,allpotentialstoredenergyandbiologicalactive product,VWNAC’sEmergencyResponsePlanwillinterfacewithCITY’s EmergencyResponsePlan. 2.18 VWNACwillimplementandmaintainanemployeesafetyprogramin compliancewithapplicablelaws,rulesandregulationsandmake recommendationstoCITYregardingtheneed,ifany,forCITYto rehabilitate,expandormodifytheProjecttocomplywithgovernmental VWNAC-MonticelloOM&MAgreementPage6of30 June2,November5,2010DRAFT safetyregulationsapplicabletoVWNAC'soperationshereunderandfederal regulationspromulgatedpursuanttotheAmericansWithDisabilitiesAct (“ADA”).NothinghereinshallbeconstruedtoplaceuponVWNACaduty tofindandreportviolationsofeitherthesafetylawsortheADAatthe Facility. 2.19 Developasludgemanagementprogramthatwillincludelanduseandan appropriaterecordkeepingsystem. 2.20 AssistCITYtoenforceexistingandnewequipmentwarrantiesand guarantees. 2.21 Providetwenty-four(24)hourperdayaccesstoProjectforCITY’s personnel.VisitsmaybemadeatanytimebyanyofCITY’semployeesso designatedbyCITY’srepresentative.KeysforProjectshallbeprovidedto CITYbyVWNAC.AllvisitorstotheProjectshallcomplywithVWNAC’s operatingandsafetyprocedures. 2.22 ProvideaninventoryofCITYownedequipment(i.e.vehicles,portable pumps,generators,etc.,notpermanentlyaffixedtothepropertythatisinuse attheProjectwhenVWNACbeganservice).VWNACagreestocomply withtheCITY’sPropertyManagementControls. 2.23 Provideaninventoryofexistingsupplies,partsandtools.Intheeventof terminationofthisagreement,thefinalsuppliesinventoryshallbeequalto theinventoryatthecommencementofVWNAC’sservice. 2.24 CoordinateandcooperatewithCITY’sengineerandcontractortofacilitate thecompletionofanyexpansionorimprovementtotheProject. 2.25 CooperatewithCITYtoacquiremutualaidagreementswithCITY Departments. 2.26 ProvideatCITY’srequestaperformancebondtoguaranteeperformanceby VWNAC.CITYwillpaythecostofsuchbondinaccordancewithArticle 5.2. 2.27 PerformotherrelatedservicestotheScopeofServicesasdirectedbyCITY. SuchserviceswillbeinvoicedtoCITYatVWNAC’sCostplustenpercent (10%).VWNACwillprovidereasonableaccesstoCITY’srepresentativeto auditVWNACcostsforanyprojectsthatarereimbursableonacost-plus basis. 2.28 MaintainProjectO&MManualsasappropriate. VWNAC-MonticelloOM&MAgreementPage7of30 June2,November5,2010DRAFT 2.29 VWNACshallnotpermititsemployeestoutilizeanypartoftheProjectfor anypersonaluse. 2.30 VWNACshallcomplywithrelevantCITYpolicies.Itisrecognizedthat variousCITYpoliciesarenotapplicabletoVWNACoritsoperations. 2.31 ProvideadequatesecurityattheProjecttoprotectthepropertyandthe generalpublic. 2.32 VWNACshalloperatethewastewaterplanttominimizethegenerationof odorsintheatmospherethroughanon-goingodorcontrolprogram.Odor controlwillhaveanequalprioritytoeffluentquality.Ifodorsidentifiedare beyondthecapabilityoftreatmentattheplant,VWNACwillassistthe CITYinidentifyingandprovidingalternativestocontrolodorsexcluding extraordinarycosts. 2.33 VWNACshallnotmakeanyunnecessaryProjectManagerchanges.When achangeoccurs,VWNACwilluseitsbestefforttoemployaProject ManagercompatibletotheCITY.TheCITYmayinterviewVWNAC’s potentialProjectManagerCandidatesandexpresstheirpreferencesto VWNAC,however,VWNAChastheresponsibilityoffinalhiring. 2.34 VWNACwillcontinuetoparticipateintheXcelEnergyelectricalcost abatementpeakshavingprogram. 3.CITYResponsibilities 3.1 TheCITYshallfundallnecessaryCapitalExpenditures.Priorityshallbe giventosafetyandtheADArelatedexpensesdescribedinSection2.18. 3.2 MaintainallexistingProjectwarranties,guarantees,easementsandlicenses thathavebeengrantedtoCITY. 3.3 TheCITYshallpayallproperty,franchise,orothertaxesassociatedwiththe Project. 3.4 ProvideVWNAC,withinareasonabletimeafterrequestandonan"as available"basis,withthetemporaryuseofanypieceofCITY'sheavy equipmentthatisavailablesothatVWNACmaydischargeitsobligations underthisAgreementinthemostcost-effectivemannerasstipulatedinthe MutualAidAgreementattachedasAppendix“F”. 3.5 ProvideallregistrationsandlicensesforCITY'svehiclesusedinconnection withtheProject. VWNAC-MonticelloOM&MAgreementPage8of30 June2,November5,2010DRAFT 3.6 ProvideforVWNAC'sexclusiveuseofallvehiclesandequipmentpresently infull-timeuseattheProject. 3.7 Providehaulinganddisposalofgrit,screenings,andtrashfromdumpsters providedattheProjectbytheCITYatnocosttoVWNAC. 3.8 ProvidepotablewaterinreasonablequantitiesatnocosttoVWNAC. 3.9 TheCITYwillprovidepermittedsludgedisposalsitestoVWNACatno costandwillpayallcost(lessthecostofnormallandapplication) associatedwithpressinganddisposalofexcessbiosolidstolandfillor othermeansduetoinsufficientlandorstorage.VWNACwillpayforthe disposalcostsassociatedwithnormallandapplicationofbiosolidstothe CITY’sBiosolidsFacilitylocatedonCountyRoad39. 4.Compensation 4.1 VWNAC'scompensationunderthisAgreementshallconsistofanAnnual Fee.ForthefirstyearofthisAgreement,VWNAC'sAnnualFeeis $750,281.TheMaintenanceandRepairLimitincludedintheAnnualFeeis $42,156.TheNaturalGasLimitintheAnnualFeeis$50,628.ThePolymer LimitintheAnnualFeeis$10,212. 4.2 IfactualMaintenanceandRepairexpendituresarelessthantheMaintenance andRepairLimitforanyAgreementyear,VWNACwillrebatetheentire differencetoCITYinaccordancewithSection5.2.IfactualMaintenance andRepairexpendituresexceedtheMaintenanceandRepairLimit,CITY willpaytheexcesstoVWNACinaccordancewithSection5.2.VWNAC willnotifyCITYwhenactualMaintenanceandRepairexpendituresequal fifty(50%)andeightypercent(80%)ofMaintenanceandRepairLimit. VWNACnon-ProjectlabormaybeusedandchargedtoCITYwhere economicorotherbenefitstoCITYappearlikelybutonlywithpriorCITY approval. 4.3 a.IfactualNaturalGasexpendituresarelessthantheNaturalGasLimitfor anyAgreementyear,VWNACwillrebatetheentiredifferencetotheCITY inaccordancewithSection5.2.IfactualNaturalGasexpendituresexceed theNaturalGasLimit,CITYwillpaytheexcesstoVWNACinaccordance withSection5.2. b.IfactualPolymerexpendituresarelessthanthePolymerLimitforany Agreementyear,VWNACwillrebatetheentiredifferencetotheCITYin accordancewithSection5.2.IfactualPolymerexpendituresexceedthe PolymerLimit,CITYwillpaytheexcesstoVWNACinaccordancewith Section5.2. VWNAC-MonticelloOM&MAgreementPage9of30 June2,November5,2010DRAFT 4.4 TheAnnualFeeshallbenegotiatedeachyearatleastfour(4)monthsprior totheanniversaryofthisAgreement'scommencementdate.ShouldCITY andVWNACfailtoagree,theAnnualFeewillbedeterminedbythe applicationoftheproceduresinAppendixG,orAppendixGOption1 whicheverresultsinthelowerfee. 4.5 CITYwillpayasadditionalcompensationtoVWNACanyincreasesin ElectricalCostorNaturalGasCostthataretheresultofAverageElectrical RateorAverageNaturalGasRateincreasesthatoccurinanyAgreement year.ForElectricalCost,theadditionalcompensationwillbecalculated baseduponactualusagepercontractyear.ForNaturalGasCost,the additionalcompensationwillbecalculatedbaseduponactualusageper contractyear,andwillonlybepaidforsaidrateincreasesiftheNaturalGas budgetestablishedintheAnnualFeeisalsoexceeded.This notwithstanding,VWNACwillreconcileandinvoiceonaquarterlybasis, anyincreasetotheNaturalGasCostbycomparingtheactualamount expendedforNaturalGastotheactualThermusagemultipliedbythe AverageNaturalGasRate.Innoevent,however,shalltheCITYbeliable forrateincreasesinNaturalGasiftheNaturalGasbudgetestablishedinthe AnnualFeeisnotexceeded. 4.6 CITYwillpay as additionalcompensationtoVWNACforlaboratorytesting fortheCargillKitchenSolutionspre-treatmentprogram.VWNACwill invoiceatCostplus10%. 4.7 IntheeventthatachangeinthescopeofservicesprovidedbyVWNAC occurs,CITYandVWNACwillnegotiateacommensurateadjustmentin AnnualFee. 4.8 PursuanttoMinn.Stat.§471.25,Subd.4a,the VWNACmustpayany subcontractorwithinten(10)daysof the VWNAC’sreceiptofpayment fromtheCITYforundisputedservicesprovidedbythesubcontractors. The VWNACmustpayinterestof1½percentpermonthoranypartofa monthtothesubcontractoronanyundisputedamountnotpaidontimeto thesubcontractor.Theminimummonthlyinterestpenaltypaymentforan unpaidbalanceof$100.00ormoreis$10.00.Foranunpaidbalanceof lessthan$100.00,the VWNACshallpaytheactualpenaltyduetothe subcontractor. 5.PaymentofCompensation 5.1 One-twelfth(1/12)oftheAnnualFeeforthecurrentyearshallbedueand payableonthefirstofthemonthforeachmonththatservicesareprovided. InvoicesmustbetenderedbyVWNACtotheCITYaminimumoffive(5) dayspriortothefourth(4th)Mondayinthemonthpreceding. VWNAC-MonticelloOM&MAgreementPage10of30 June2,November5,2010DRAFT 5.2 AllothercompensationtoVWNACisduefive(5)daysfollowingthefourth (4th)MondayofeachmonthwheninvoiceshavebeenpresentedtotheCITY five(5)dayspriortothefourth(4th)Mondayofsaidmonth. 5.3 AnymoniespayablepursuanttoSection4.2,4.3and4.5willbepaidwithin sixty(60)calendardaysaftertheendofeachAgreementyear. 5.4 CITYshallpayinterestatanannualrateequaltotheWellsFargoBank's primerateplusoneandone-halfpercent(1-1/2%),saidrateofinterestnotto exceedanylimitationprovidedbylaw,onpaymentsnotpaidandreceived withinfifteen(15)calendardaysoftheduedate,suchinterestbeing calculatedfromtheduedateofthepayment.Intheeventthecharges hereundermightexceedanylimitationprovidedbylaw,suchchargesshall bereducedtothehighestrateoramountwithinsuchlimitation. 6.Indemnity,Liability,InsuranceandBonds 6.1 VWNACherebyagreestoindemnifyandholdCITYharmlessfromany liabilityordamagesforbodilyinjury,includingdeath,whichmayarisefrom VWNAC'snegligenceorwillfulmisconductunderthisAgreement, provided,VWNACshallbeliableonlyforthatpercentageoftotaldamages thatcorrespondstoitspercentageoftotalnegligenceorfault. 6.2ExceptinthecaseofVWNAC’sactualnegligenceorwillfulmisconduct, CITYagreestoindemnifyandholdVWNACharmlessfromanyliabilityor damageorbodilyinjury,includingdeath,whicharisefromorrelateto CITY’swastewatercollectionsystem,includingspecificallysewerbackup claims. CITYCITY 6.3 6.2 Neitherpartynortheiraffiliatedcompanies,northeofficers,agentsand employeesorcontractorsofanyoftheforegoing,shallbeliabletothe otherinanyactionorclaimforconsequentialorspecialdamages,lossof profits,lossofopportunity,lossofproductorlossofuse.Anyprotection againstliabilityforlossesordamagesaffordedanyindividualorentityby thesetermsshallapplywhethertheactioninwhichrecoveryofdamagesis soughtisbasedoncontract,tort(includingsole,concurrentorother negligenceandstrictliabilityofanyprotectedindividualorentity),statute orotherwise.Totheextentpermittedbylaw,anystatutoryremedies whichareinconsistentwiththesetermsarewaived. 6.4 TOTHEEXTENTTHATVWNACISASELLEROFGOODSTO CITY,VWNACDISCLAIMSALLWARRANTIES,EXPRESSOR IMPLIED,ANDDISCLAIMSTHEIMPLIEDWARRANTIESOF VWNAC-MonticelloOM&MAgreementPage11of30 June2,November5,2010DRAFT MERCHANTABILITYANDFITNESSFORAPARTICULAR PURPOSE. 6.5 6.3 VWNACshallbeliableforthosefinesorcivilpenaltiesimposedbya regulatoryorenforcementagencyforviolationsoftheeffluentquality requirementscontainedinArticle2.1thataredirectlyattributableto VWNAC'snegligence.CITYwillassistVWNACtocontestanysuchfines inadministrativeproceedingsand/orincourtpriortoanypaymentby VWNAC.VWNACshallpaythecostofcontestinganysuchfines.These costsshallincludebutnotbelimitedtothecoststhattheCITYmayincur throughtheirownprofessionalrepresentation. 6.6 6.4 CITYshallbeliableforthosefinesorcivilpenaltiesimposedbyany regulatoryorenforcementagenciesonCITYand/orVWNACthatarenota resultofVWNAC'snegligenceorareotherwisedirectlyrelatedtothe ownershipofthe Project.IntheeventthatVWNACmustpayanysuchfines orpenalties,CITYshallreimburseVWNAC. 6.7Tothefullestextentpermittedbylawandnotwithstandinganyother provisionofthisAgreement,VWNA'sliabilityforperformanceornon- performanceofanyobligationarisingundertheAgreement(whether arisingunderbreachofcontract,tort,strictliability,oranyothertheoryof laworequity)including,butnotlimitedtoitsindemnityobligations specifiedinSection6.1oftheAgreement,shallbelimitedto:(i)general moneydamagesinanamountequaltotheamountofanyproceedsof insurancereceivedbytheOWNERortowhichVWNACisentitled pursuanttoanyinsurancepolicyrequiredtobemaintainedbyVWNAC hereunder(withoutregardtotheamountofanydeductiblewhichmaybe applicableunderanysuchpolicy)withrespecttosuchloss;or(ii)tothe extentproceedsofinsurancearenotreceivedandsuchgeneralliabilityor automobileinsuranceisnotapplicable,acumulativeaggregateoverthe fullinitialtermandanyextendedterm(s)ofthisagreementofanamount nottoexceedthefirstyear’sAnnualFeefortheProject,asidentifiedin Section4.1. 6.5 Provided,however,thatthelimitationofliabilityinthissectionexpressly doesnotapplyto(i)claimsmadebythirdpartiesagainstCITYforwhich CITYhasarighttoindemnityfromVWNAC;or(ii)liabilitycausedby VWNAC’sgrossnegligenceorwillfulmisconductunderthisAgreement. 6.8 IndemnityagreementsprovidedforinthisAgreementshallsurvivethe terminationoftheAgreement. 6.66.9 Eachpartyshallobtainandmaintaininsurancecoverageofatypeandinthe amountsdescribedinAppendix“E”.ExceptforWorkers'Compensation, eachpartyshallnametheotherpartyasanadditionalinsuredonall VWNAC-MonticelloOM&MAgreementPage12of30 June2,November5,2010DRAFT insurancepoliciescoveringtheProject.Furthermore,eachpartyshall providetheotherpartywithsatisfactoryproofofinsurance. 6.76.10 VWNACshallprovideaperformancebondandapaymentbond,ora combinedperformanceandpaymentbond,equaltothefullvalueofthe AnnualFeeforeachyearofthisAgreementassecurityforfaithful performanceofallVWNAC’sobligationsunderthisAgreement.Thebonds shallbeprovidedonanannualbasisandtheliabilitytotheSuretyforeach periodshallnotbecumulative.Thebondsmustsatisfytherequirementsof MinnesotaStatutes§574.26.Thebondsforeachyearshallbeprovidedbya suretyacceptabletotheCITY. 7.Term,TerminationandDefault 7.1TheinitialtermofthisAgreementshallbefive(5)yearscommencing January1,2011.Thereafter,thisAgreementshallbeautomaticallyrenewed forsuccessivetermsoffive(5)yearseach,unlesscanceledinwritingby eitherpartynolessthanonehundredandtwenty(120)dayspriorto expiration. 7.2 ApartymayterminatethisAgreementonlyforamaterialbreachofthe Agreementbytheotherparty;onlyaftergivingwrittennoticeofbreach;and, exceptincaseofabreachbyCITYfornon-paymentofVWNAC'sinvoices, inwhichcaseterminationmaybeimmediatebyVWNAC,onlyafter allowingtheotherpartythirty(30)daystocureorcommencetaking reasonablestepstocurethebreach. 7.3 UponnoticeofterminationbyCITY,VWNACshallassistCITYin resumingoperationoftheProject.CITYmayemployanyandallemployees assignedtotheProject. 7.4 TheCITYmayterminatethisagreementafteronehundredtwenty(120) dayswrittennoticeforaseriousperformancerelatedincidentwhichoccurs twicewithinanycontiguous60-dayperiod.Suchanincidentis,butnot limitedto:failuretooperateormaintainallexistingodororairscrubbing systems(thisdoesnotincludebreakdownsorshortageofpartsorchemicals beyondthecontrolofVWNAC);failuretoprovidetestresultsorreportsina timelyfashion;releaseofmethanegastotheatmospherewhenwithinthe controlofVWNAC;failuretoperformrequiredpreventivemaintenanceon vehicles,piping,systems,equipment,andbuildings;failuretomaintain recordsofmaintenanceorrepairs;failuretosecurethefacilityandgrounds; failuretomaintainaninventoryofavailablesparepartsorsuppliesnecessary fortheuninterruptedoperationoftheplant;failuretorepairequipment necessaryfortheuninterruptedoperationoftheplantwhenrepairpartsare VWNACwillreturntheProjecttoCITYinthesameconditionasitwas upontheeffectivedateofthisAgreement,ordinarywearandtearexcepted. 8.DisputesandForceMajeure 8.1 IntheeventactivitiesbyCITY’semployeegroupsorunionscausea disruptioninVWNAC'sabilitytoperformattheProject,CITY,with VWNAC'sassistanceorVWNACatitsownoption,mayseekappropriate injunctivecourtorders.Duringanysuchdisruption,VWNACshalloperate thefacilitiesonabest-effortsbasisuntilanysuchdisruptionscease. 8.2 IfanylitigationisnecessarytoenforcethetermsofthisAgreement,the TheprojectwassubstantiallycompletedonOctober12,2010.Sincethen,thecontractor hasaddressedalltheirpunchlistitems,includingthereconstructionofa14-footsection ofdamagedpedestrianpathwaybetweenFarmsteadDriveandCountryLane.Theonly remainingpunchlistitemistoensurethatallthecontractor’sturfestablishmentefforts weresuccessful.Thecontractorhasagreedtomeetwithstaffonsiteinthespringto reviewtheconditionoftheirturfrestorationeffortstoensureitmeetsoursatisfaction.It shouldbenotedthatthecontractoronthisprojectisthesamecontractorthatWright HennepinElectric(WHE)usedonalltheotherstreetlightingprojectstheyhave completedinMonticellotodatesostaffisconfidenttheircontractorwillhonortheir obligations,whichinthiscaseareconsideredrelativelyminor.Assuch,staffisnot recommendingaretainage. Staffthereforeconsiderstheprojecttobecompleteandreadyforfinalpaymentin accordancewiththeconstructioncontractandCityofMonticelloEngineeringand ConstructionStandards.TheCouncilisthereforebeingrequestedtoaccepttheprojectas completeandapprovefinalpaymenttoWHEintheamountof$101,636.75. Itshouldbenotedthatfinalpaymentincludesanamountof$10,960forchangeorder#1, whichisattachedassupportingdata.Thischangeorderincludescostsfortwoitemsof worknotincludedintheoriginalscopeofwork.Thefirstcostof$3,600isrelatedtothe needtoupsize1,090feetofcopperwireinordertoallowalightthatwasproposedtobe installednorthofSchoolBoulevardatFallonAvenuetobemovedsouthofSchool Boulevard.ThiswasnecessarytomeetGreatRiverEnergy’sclearancerequirementsin regardstotheiroverheadlines.Thesecondcostof$7,360isfordirectionaldrillingan additional920feetofconduitabovethecontractamount.Thiswasnecessaryinorderto avoidimpactstoseveralexistingprivateutilitiesalongthecorridor. SuchprojectsincludedtheconstructionoftheI-94/CSAH18interchange,theextension ofEast7th StreettoCSAH18,thereconstructionofMeadowOakAvenue,includingthe constructionoftheroundaboutatCSAH18&MeadowOakAvenue,andmostrecently thereconstructionofEastBroadwayinconjunctionwithMn/DOT’sI-94TwinBridge Replacementproject. In2008CounciladoptedaresolutionrequestingMn/DOTtoconductaSpeedStudyon EastBroadwayfollowingtheturnbackofCSAH75,eastofCSAH18,totheCity.This requestwasalsodrivenbythenumerouschangesthatoccurredduetotherecently completedimprovementprojects.However,atthetimeMn/DOTstartedtheirstudythey calledtonotifystaffthatMn/DOTwasplanningtoreplacethetwinbridgesonInterstate 94overEastBroadway/CSAH75,whichwouldincludethecompletereconstructionofa portionofEastBroadway,aswellasthepermanentremovaloftheoldI-94onandoff rampsforCSAH75whichwereclosedtotrafficbutleftinplacefollowingthe constructionofthenewCSAH18interchange.Mn/DOTthereforerequestedthattheybe allowedtoholdoffoncompletingtheSpeedStudyuntilafterthisprojectwascompleted. FollowingtherecentsubstantialcompletionofMn/DOT’sbridgereplacementproject, staffcontactedMn/DOTtoaskiftheywouldnowbecompletingthepreviouslyrequested SpeedStudy,oriftheCitywouldhavetorequestanotherSpeedStudybeconducted. Thismeanstrafficvolumesaresignificantlylessthantheyusedtobe,andtheneedto acceleratetohighwayspeedsbeforeenteringeastbound94isnolongerafactor.Assuch thereasonableandsafespeedlimitforEastBroadwaymaybesignificantlydifferent todaythanitwasbackthen.Assuch,CitystaffwouldagainliketorequestMn/DOTto conductaSpeedStudytoensurethatareasonableandsafespeedispostedonthisroad. Followingareoptionsandcosts: 1.Nochange-usebudgetedfundstooperatethesameaslastyear.Thisoption includesopeningonTuesday/ThursdayandWeekends/Holidaysfornineweeks endingsometimeinFebruary,butnolongerthanatotalofnineweeksatacostof $2,270. 2.Weekendsonlyfornineweeksatforacostof$1,387. 3.Weekends/holidaysonlyforacostof$1,891. 4.OpenonlyfortheHomefortheHolidaysEventforacostof$63. 5.TwodaysperweekatdiscretionofParksSuperintendentatacostof$378. 6.Floodingoficerinkbutnowarminghouseandnoskatingguards. Insummary,individualandcommunityuseofWestandEastBridgeParkshasbecomea rightofwinterandtheholidays.WiththeWinterWonderlandthemeassociatedwiththe HomefortheHolidaysEvent,theskatingrinkatWestBridgeParkhasbecomepartof thepositivefamilytraditionformanyresidentsoftheCityofMonticello. Staffunderstandsthatclosureofthisfacilityrepresentsanopportunitytosaveexpense withouteliminatingtheserviceduetothepresenceoftheicerinkatFourthStreetPark andMooseSherritticearena.However,itshouldbenotedthattheactualskating experienceatBridgeParkisdifferentthanFourthStreetduetothestronginfluenceof hockeyonthefacility.StaffdoesunderstandthatitisuptoCounciltodetermineifthe costexceedsthebenefits. D.SUPPORTINGDATA: ListofprosandconsformaintainingicerinkatWestBridgePark DECISIONFACTORSTOMAINTAINORNOTTOMAINTAIN THEWESTBRIDGEPARKICERINK FactorsSupportingIceMaintenance: WestBridgeParkistheCity’sshowpieceandanimportantentrancetotheCityforthe holidays.Thepresenceoftheiceandskatingactivityisanimportantcomponentofits wintercharacterandcharm. TheHomefortheHolidaysEventincludesactivitiesatWestBridgePark.Duringthese activitiestheskatingrinkandwarminghouseisopenaspartoftheWinterWonderland themeoftheevent. LionsClubdonationoffundsandlaborcontributingtotheChristmaslighting.The presenceoftheicerink/skatingaddstotheChristmasambiencecreatedbythespecial lighting. Theparkisawinterattractionthatbringsactivitytothe“downtown”area. Thecosttofloodtheiceandstaffthewarminghouseisrelativelylowascomparedtothe benefitderived.Bycarefullymonitoringhours,stafftimecanbekepttoaminimum whilemaintainingthisservicetotheresidents. UsersoftheslidinghillontheEastBridgeParksidewillcontinuetohaveaccesstothe warminghousewhenitisopen. Therinkisageneralskatingrinkwithnohockeyplaywhichprovidesafreerecreational activityforfamiliesduringthesedifficulteconomictimes. FourthStreetParkhasageneralskatingrinkbuttheparkismainlyusedforhockey practiceandhockeyplayandisnottypicallyusedbyfamiliesforgeneralrecreation. TheMooseSherrittIndoorArenadoeshavelimitedpublicskatehours,typically2 hours/week;however,thereisafeetousethisarena. ReasonsforDiscontinuingIceMaintenance: SkatingopportunitiesareavailableindoorsonalimitedbasisatMooseSherittarenaand openonaregularbasisatFourthStreetPark,soeliminationoficeatWestBridgePark doesnoteliminateopportunityforskating.EliminatingWestBridgeParkicedoesnot resultinareductionisserviceduetothepresenceoftheotherskatingrinks,althoughice hockeyandfamilyskatingcanconflictatFourthStreetPark. Thoughnotresultinginahugesavings,itisnonethelessasavingsandshouldbe seriouslyconsidered. Althoughthepresenceoftheskatingrinkaddstothewintercharacterandcharmofthe park,theChristmaslightingcanstillbeinstalledandtheParkcanstillbeanice showpieceattheentrancetotheCity.
