REFERENCE AND BACKGROUND: This is an update regarding the Block 52 Purchase and Development Contract with Deephaven Development. Due to the size, scale and complexity of the development proposal, there are a few terms that are still being finalized. Staff and the developer continue to work on these terms diligently and are making progress to an agreement. Some but not all the terms that are being finalized are noted below as a general category descriptor: 1. Final total increment amount to be paid to the developer 2. Final interest rate on the TIF revenue note payable to the developer 3. EDA land costs reimbursement amount 4. Final amount of pooled TIF dollars to be reimbursed to the developer for public benefit cost items such as parking lot improvements, sidewalks and landscaping, lighting, etc. 5. Phase II study costs division between developer and EDA 6. Timeline due to need for a Phase II Study to be completed with various reports to MPCA and agency sign off 7. Liability language related to demolition activities 8. Mattress Store Sidewall Upgrades — discussion of providing fagade improvement program grant dollars to Deephaven Development to complete fagade on the newly exposed east wall of the mattress store through the fagade funding program (grant dollars) 9. Claw back language related to performance stipulations in the MN -DEED Redevelopment Grant in terms of new jobs 10. Others non major terms that have not been finalized Al. STAFF IMPACT: There is a limited staff impact in updating the EDA regarding the Block 52 funding and Contract. A2. BUDGET IMPACT: The budget impact from updating the EDA is minimal. B. The three buildings in yellow will remain Buildings 1 and 7 share a common wall. CONSULTANT SERVICES: SCOPEOF WORK PHASE 1: Precondition Surve Task 1a. — External Building Survey Carl Osberg, PE will overview the external precondition survey on the project. An external survey will be completed at each building deemed to be at risk during construction. Three buildings will be surveyed before demolition. These surveys will serve as a standard for the building integrity before any damages that may occur. The surveys will consist of a report with photo logs and descriptions of existing defects as well as precautions need for the demolition and construction projects. Task 1b. — Interior Building Survey Carl Osberg, PE will overview the internal precondition survey on the project. An interior survey will be completed at each building deemed to be at risk during construction. Three buildings will be surveyed before demolition. These surveys will serve as a standard for the building integrity before any damages that may occur. The surveys will consist of a report with photo logs and descriptions of existing defects as well as precautions need for the demolition and construction projects. Postcondition surveys will be performed if needed. Fee will be negotiated if necessary. PHASE 2: Vibration Monitorinq Plan Task 2a. — Demolition Vibration Monitoring Plan Carl Osberg, PE will lead the development of a vibration monitoring plans for the Block 52 demolition. The demolition monitoring plan will serve as a guideline to the vibration monitoring to ensure the existing infrastructure is not negatively impacted. The plan will clearly state the vibration thresholds and trigger levels for the monitor boxes. The plan will also include corresponding actions and contingencies if vibration thresholds are reached. Task 2b. — Construction Vibration Monitoring Plan Carl Osberg, PE will lead the development of a vibration monitoring plans for the Block 52 construction. The construction monitoring plan will serve as a guideline to the vibration monitoring to ensure the existing infrastructure is not negatively impacted. The plan will clearly state the vibration thresholds and trigger levels for the monitor boxes. The plan will also include corresponding actions and contingencies if vibration thresholds are reached. PHASE 3: Vibration Monitoring Task 3a. — Demolition Vibration Monitoring Isaiah Stueber, EIT will head the demolition monitoring. We have assumed 2 monitor boxes for a duration of 2 months each. If work is to take longer or more boxes are needed, WSB's expenses will increase. This vibration monitoring will assist in limiting or minimizing damage to the structures during demolition. The vibration monitoring will include trigger level vibration thresholds that will be electronically recorded and automatically send to the Contractor and Engineer if any thresholds are exceeded. If trigger thresholds are exceeded, work will stop until the vibrations are understood and the demolition activity changes. He will be supported by Sam Konieczny, PE, SE. Both Carl and Sam have recent experience in evaluating buildings and disconnecting adjoining building for demolition in Hopkins and Melrose, MN. We understand the developer will provide demolition plans. REFERENCE AND BACKGROUND: Headwaters Development recently completed a Phase II Environmental Study at the 16.71 -acre EDA owned site along 7t" Street West. The Phase II, received by City staff on July 5, 2022, indicates there are some slightly contaminated soils at the site. The contamination is barely over the reportable levels and is viewed as manageable as part of the development process. It is believed that the contamination may be related to the City Public Works Street sweepings that have been dumped at the site for many years. The contamination finding will require Headwaters to complete a follow up Response Action Plan (RAP) report and submit it to the Minnesota Pollution Control Agency (MPCA) before proceeding with site excavation activities. The MPCA will review and sign off on the RAP. MPCA may also require the developer to complete a follow up construction contingency plan related to the proposed development as well. The expectation is that these required steps will impact the timing of the land conveyance to Headwaters and the development proposal start and completion dates. These timeline adjustments will require the Purchase and Development contract to be amended at a future EDA meeting. Staff will continue to monitor the status of the various next steps noted above and update the EDA as additional information becomes available. Al. We understand the developer will provide demolition plans. I Rate Schedule is adjusted annually. WSBENG.COM EDA: 07/13/22 5. Consideration of Update of Headwaters Senior Affordable Apartment and Villa Homes Development proposal timeline (JT) A. REFERENCE AND BACKGROUND: Headwaters Development recently completed a Phase II Environmental Study at the 16.71 -acre EDA owned site along 7t" Street West. The Phase II, received by City staff on July 5, 2022, indicates there are some slightly contaminated soils at the site. The contamination is barely over the reportable levels and is viewed as manageable as part of the development process. It is believed that the contamination may be related to the City Public Works Street sweepings that have been dumped at the site for many years. The contamination finding will require Headwaters to complete a follow up Response Action Plan (RAP) report and submit it to the Minnesota Pollution Control Agency (MPCA) before proceeding with site excavation activities. The MPCA will review and sign off on the RAP. MPCA may also require the developer to complete a follow up construction contingency plan related to the proposed development as well. The expectation is that these required steps will impact the timing of the land conveyance to Headwaters and the development proposal start and completion dates. These timeline adjustments will require the Purchase and Development contract to be amended at a future EDA meeting. Staff will continue to monitor the status of the various next steps noted above and update the EDA as additional information becomes available. Al. STAFF IMPACT: There is a limited staff impact currently due to the anticipated needed adjustments in the Purchase and Development Contract. A2.
